A comprehensive legal checklist covering entity selection, registration, GST, MSME, and compliance requirements for starting a business in India.

Introduction

Starting a business in India involves navigating multiple legal requirements at the central, state, and local levels. Whether you are launching a tech startup in Lucknow or opening a manufacturing unit in Uttar Pradesh, getting your legal foundations right from day one can save you from costly disputes and penalties later.

This checklist walks you through the key legal steps — from choosing the right business entity to obtaining the licences you need to operate lawfully.

Choosing the Right Business Entity

The structure you select affects your liability, taxation, compliance burden, and ability to raise capital. Here are the most common options under Indian law.

Sole Proprietorship

A sole proprietorship is the simplest form of business. There is no separate legal registration required — the business is an extension of the individual. It is suitable for freelancers, consultants, and small traders. However, the proprietor bears unlimited personal liability for all business debts.

Key registrations: PAN card of the proprietor, GST registration (if applicable), and a current bank account in the business name.

Partnership Firm

Governed by the Indian Partnership Act, 1932, a partnership firm involves two or more persons who agree to share profits and losses. Registration with the Registrar of Firms is optional but strongly recommended, as an unregistered firm cannot enforce its rights in court against third parties.

Limited Liability Partnership (LLP)

An LLP, governed by the LLP Act, 2008, combines the flexibility of a partnership with limited liability protection. It is registered with the Ministry of Corporate Affairs (MCA) through the LLP Form FiLLiP. LLPs are popular among professional services firms and small to mid-sized businesses.

Compliance: Annual filing of Statement of Accounts and Solvency (Form 8) and Annual Return (Form 11) with the MCA.

Private Limited Company (Pvt Ltd)

This is the preferred structure for businesses seeking external investment. A Pvt Ltd company is a separate legal entity with limited liability for shareholders. Incorporation requires a minimum of two directors and two shareholders, filing through SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) on the MCA portal.

Compliance: Annual general meetings, board meetings, filing of annual returns (MGT-7) and financial statements (AOC-4), and statutory audits.

One Person Company (OPC)

Introduced under the Companies Act, 2013, the OPC allows a single individual to incorporate a company with limited liability. It must name a nominee director. OPCs have relaxed compliance compared to Pvt Ltd companies, making them suitable for solo entrepreneurs who want the benefits of incorporation.

GST Registration

Registration under the Goods and Services Tax is mandatory if your annual turnover exceeds Rs. 40 lakh (Rs. 20 lakh for service providers, and Rs. 10 lakh in special category states). Even below these thresholds, voluntary registration is advisable if you engage in inter-state supply or wish to claim input tax credit.

The process is completed online through the GST portal (gst.gov.in). You will need your PAN, Aadhaar, proof of business premises, bank account details, and authorisation documents.

MSME and Udyam Registration

If your enterprise qualifies as a Micro, Small, or Medium Enterprise under the revised MSME classification, registering on the Udyam portal (udyamregistration.gov.in) is free and entirely online. Udyam registration is linked to your Aadhaar and PAN, and it qualifies you for several government benefits including priority sector lending, lower interest rates, and subsidies under various central and UP state schemes.

Shop and Establishment Act Registration (Uttar Pradesh)

Every business operating a shop or commercial establishment in Uttar Pradesh must register under the UP Shops and Commercial Establishments Act, 1962. This registration must typically be obtained within 30 days of commencing business.

The registration covers working hours, rest intervals, holidays, conditions of employment, and wages. In Lucknow, the application is submitted to the Labour Department or through the state's online portal. Failure to register can result in penalties and complications in obtaining other licences.

Trade Licence in Lucknow

A trade licence from the Lucknow Municipal Corporation (Lucknow Nagar Nigam) is required for operating any trade, business, or profession within municipal limits. The licence must be renewed periodically and the fee depends on the nature and size of the business.

Documents typically required include proof of business premises (lease deed or ownership documents), identity proof, photographs, and the Shop & Establishment registration certificate.

PAN and TAN Requirements

PAN (Permanent Account Number): Every business entity — whether proprietorship, partnership, LLP, or company — must have a PAN. For companies and LLPs, PAN is allotted during the incorporation process itself.

TAN (Tax Deduction and Collection Account Number): If your business is required to deduct tax at source (TDS) on payments such as salaries, rent, or professional fees, you must obtain a TAN. Application is made through Form 49B to NSDL or UTIISL.

Labour Law Compliance Basics

Even at an early stage, businesses that hire employees must be aware of fundamental labour law obligations:

  • Employees' Provident Fund (EPF): Mandatory for establishments with 20 or more employees. Both employer and employee contribute 12% of basic wages.
  • Employees' State Insurance (ESI): Applicable to establishments with 10 or more employees where employee wages do not exceed Rs. 21,000 per month.
  • Minimum Wages: Employers in Uttar Pradesh must comply with the minimum wage rates notified by the UP state government, which vary by industry and skill level.
  • Payment of Gratuity: Applicable to establishments with 10 or more employees. Gratuity is payable after five years of continuous service.
  • Shops and Establishments Act provisions regarding working hours, overtime, leave, and record-keeping.

Businesses should also be aware of the new Labour Codes — the Code on Wages, 2019; the Industrial Relations Code, 2020; the Code on Social Security, 2020; and the Occupational Safety, Health and Working Conditions Code, 2020 — which consolidate and replace several older statutes. While the central rules have been framed, UP-specific rules and full implementation timelines should be monitored.

Additional Registrations to Consider

Depending on your industry, you may also need:

  • FSSAI licence for food-related businesses
  • Drug licence for pharmaceutical businesses
  • Import Export Code (IEC) from DGFT if you plan to engage in international trade
  • Professional Tax registration (applicable in some states; UP does not currently levy professional tax)
  • Environmental clearances for manufacturing and certain industrial activities
